An investment in the Company requires a willingness to accept financial risk and commit capital for an extended period. A significant portion of the proceeds will be invested in Kerr Cellars, a premier Napa Valley winery. Please note: Interests in Kerr Cellars are expected to be highly illiquid and not transferable under most circumstances, except with the prior consent of the Managing Member. However, investors in XP Napa may have the ability to sell their shares after a one-year lock-up period, subject to the availability of secondary market liquidity.
