Max Player

Invest in the second career of one of the most accomplished racehorses of his generation—Max Player. Following a successful racing career, Max is now standing at stud in Middletown, NJ. This is a rare opportunity to become one of the first investors to own a percentage of a hopeful future breeding standout. Investing in top-tier stallions can be highly profitable. While it takes time for a stallion to prove himself in the breeding shed, we have high expectations for Max Player. This offering gives investors access to early-stage participation in a uniquely structured venture with low capital risk, a strong likelihood of positive returns, and the potential for significant upside.

Offering Overview

The company intends to raise up to $10,000,000. Capital will be used for two primary purposes: 1. Purchase 10-year zero-coupon U.S. Treasury bonds (to provide capital protection at maturity) 2. Acquire Max Player, along with a portfolio of mares and yearlings (as detailed in the PPM and offering documents) 3. Acquire and support additional mares that will match well with Max 4. Cover breeding and racing expenses.

Earnings and Distributions

Each year, the company will distribute 90% of all income generated from Max Player and related horse assets. This includes: • Stallion (stud) fees • Stallion awards • Breeder’s awards • Racing purses Proceeds from the sale of horses may be either reinvested or distributed, at the discretion of the board. At the end of the 10-year period, the Treasury bonds will mature. Remaining portfolio assets will be liquidated, and investors will receive their pro rata share of proceeds. We hope to generate excitement for investors from the auctioning of horse, racing, and potential breeder and stallion awards for offspring. And with 90% of revenues paid out and a principal protection, we are hopeful that there will be a good return for investors.

Trading Restrictions (may apply)

This offering is being conducted under a Regulation D exemption, which requires shares to be held for a minimum of one year. After this holding period, shares will be freely transferable. XChange Place will use best efforts to create liquidity after the one-year mark but cannot guarantee a secondary market or trading activity will be available.
