The Fund invests in: • Equity in professional sports teams • Revenue-sharing agreements with professional athletes • Partnerships with entities representing athletes, NASCAR and Formula 1 drivers and teams • Thoroughbred racehorses and companies that manage them • Additional high-value sports-related assets as identified by the General Partner XP Sports brings institutional-style access to sports investing into the private markets. Earnings and Distributions

Partnership Interests will be allocated a pro-rata share of realized and unrealized gains, interest and dividends and Investors can redeem their Interests quarterly after an initial lockup period of 1 year all as more fully described in the Partnership’s PPM.

Trading Restrictions (may apply)

Following an initial one-year lock-up period, Limited Partners may withdraw all or a portion of their capital account balance by providing at least 90 calendar days’ written notice to the General Partner or its designated representative, subject to certain restrictions outlined in the Private Placement Memorandum (PPM). XChange Place also intends to facilitate a secondary market for fund interests, enabling potential liquidity through peer-to-peer transactions, subject to market conditions and regulatory compliance.
