XP Multi Strategy Fund

The XChange Place Multi-Strategy Fund LP is a diversified alternative investment vehicle designed to generate long-term capital appreciation by investing across a wide range of high-potential asset classes. Interests in the Fund are offered pursuant to the Regulation D Rule 506(c) exemption and are available exclusively to accredited investors. The Fund’s investment strategy spans multiple sectors, including: • Fine Art – Investments in valuable works of art, including paintings, photographs, and sculptures. • Real Estate – Equity and debt financing for both commercial and residential properties. • Sports – Participation in athlete earnings streams and equity stakes in professional sports teams. • Entertainment – Financing for film, television, and live theater productions, as well as investments in music catalogs and revenue-sharing arrangements. All investment decisions are overseen by the XChange Place Capital Investment Committee, which applies rigorous due diligence and long-term value analysis. Portfolio assets may be monetized through the XChange Place LLC investment platform, enabling potential liquidity and optimized returns.

Offering Overview

We are seeking to raise up to $100,000,000 in partnership interests from up to 2,000 accredited investors. The proceeds from this offering will be used to acquire high-potential assets that can be fractionalized and made available for investment through the XChange Place platform. Our goal is to unlock access to unique alternative assets and distribute them efficiently to a broader investor base.

Earnings and Distributions

Earnings will be generated through the purchase and sale of assets held within the Fund. Capital realized from asset sales will be retained within the Fund and reinvested into new opportunities, in accordance with the Fund’s investment strategy. The Fund does not anticipate making regular distributions of earnings. Redemption proceeds, when applicable, will be distributed in accordance with the terms outlined in the Private Placement Memorandum (PPM).

Trading Restrictions (may apply)

Liquidity and Redemptions Limited partnership interests may be redeemed after two years from the date of the initial investment. However, after a one-year holding period, interests may be eligible for secondary trading on the XChange Place Platform, subject to the availability of liquidity.
